Terms of Service

Talis DOO ("Talis", "we", "us", or "our") provides the Talis AI recruiting platform (the "Service") via https://talishr.com (the "Site"). By accessing or using the Service, you ("Customer", "you", or "your") agree to these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity, and "you" means that entity.

1. Description of Service

Talis provides an AI-powered platform for bulk candidate screening, anonymization, scoring (1–100 on skills/culture fit), ranking, and analytics to help recruiting teams hire faster and without bias. Features include:

• Unlimited CV uploads and AI analysis.
• Bias removal on upload.
• Dashboard for pipeline tracking and diversity reports.
• AI Assistant for interview questions/emails.

We may update features at our discretion. Beta features are provided "as-is" without warranties.

2. Accounts and Access

• You must create an account with accurate information.
• You are responsible for maintaining confidentiality of login credentials.
• Access is for your internal business use only (no resale/sublicense).
• You agree to comply with our Acceptable Use Policy (incorporated herein): No unlawful use, no reverse-engineering, no uploading malware.

3. Payments and Billing

• Pricing: As listed on the Site or Order Form (e.g., Growth: $499/month or $4,990/year).
• Billing: Via Whop (our payment processor). Subscriptions auto-renew monthly/annually until cancelled.
• Taxes: You are responsible for all applicable taxes (VAT, sales tax). We collect/display where required.
• Late Payments: 1.5% monthly interest on overdue amounts. We may suspend access for non-payment after 7 days' notice.
• Refunds: 7-day money-back guarantee for new subscriptions. No refunds for partial months or annual plans (pro-rated if we terminate).

4. Intellectual Property

• Our Rights: The Service, AI models, and all Talis IP (code, algorithms, anonymization tech) remain our exclusive property. You get a limited, non-exclusive, non-transferable license to use during your subscription.
• Your Content: You retain rights to your uploaded data (CVs, job descriptions). You grant us a worldwide, royalty-free license to process/anonymize it solely for providing the Service.
• Output: Ranked lists, scores, and reports are yours to use commercially. We own the underlying AI (no training on your data).
• Feedback: Any suggestions you provide become our property (royalty-free).

5. Confidentiality

Each party will protect the other's Confidential Information (e.g., your hiring data; our pricing/tech) with at least the same care as its own. Exceptions: Public info, independently developed, or legally required disclosure (with notice).

6. Data Protection

• We process your data as described in our Privacy Policy and Data Processing Agreement.
• You control your customer/candidate data; we anonymize immediately and delete after 90 days of inactivity.
• GDPR Compliance: Serbia-based (EU-adequate); EU servers; no data transfers outside EEA without safeguards.

7. Representations and Warranties

• By You: You have rights to upload data; it complies with laws (e.g., no discriminatory job postings).
• By Us: Service will materially match descriptions; we'll use reasonable skill.
• Disclaimers: EXCEPT AS STATED, SERVICE IS "AS-IS." NO WARRANTIES (IMPLIED OR OTHERWISE) FOR ACCURACY OF AI SCORES, UNINTERRUPTED ACCESS, OR FITNESS FOR PURPOSE. AI MAY HAVE ERRORS; ALWAYS VERIFY OUTPUTS.

8. Indemnification

You'll indemnify us against claims arising from your data/use (e.g., IP infringement in CVs). We'll indemnify you against claims our Service infringes third-party IP (limited to fees paid).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NO CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES (EVEN IF ADVISED).
• OUR TOTAL LIABILITY IS LIMITED TO 12 MONTHS' FEES PAID BY YOU.
• HIGH-RISK USE PROHIBITED (E.G., SOLE RELIANCE ON AI FOR HIRING DECISIONS).

10. Termination

• By You: Cancel anytime (effective end of billing period).
• By Us: For cause (e.g., non-payment, breach) with 7 days' notice; or without cause with 30 days' notice (pro-rated refund).
• Effects: Access ends; data deleted per DPA (90 days to export). Accrued obligations survive.

11. Governing Law and Disputes

• Governed by laws of the Republic of Serbia (without conflicts principles).
• Disputes: Exclusive jurisdiction of courts in Belgrade, Serbia.
• You waive jury trials/class actions. We may seek injunctive relief anywhere.

12. Miscellaneous

• Entire Agreement: These Terms + Order Form + DPA/Privacy Policy = full agreement.
• Severability: Invalid provisions don't affect the rest.
• Assignment: You need our consent; we may assign freely.
• Force Majeure: No liability for delays from events beyond control (e.g., outages).
• Changes: We may update Terms (notice via email/Site). Continued use = acceptance.
